GENERAL USAGE

Application. This Agreement describes the terms and conditions applicable to your use of our services available under the domain of www.EasyTeamManager.com (the "Main Site") or services provided by EasyTeamManager under the brands of our affiliates ("Affiliate Sites"). If you object to the terms and conditions of this Agreement, please refrain from utilizing our services because this agreement is a waiver of any and all right to sue us for damages incurred as a result of your use of the Affiliate Sites or Main Site (collectively, the "Site").

Membership Anyone may become a member of our Site. For teams and leagues providing payment for services, we promise to provide the services represented in our Features section to the best of our ability. When made aware of bugs in the system, we will take necessary and reasonable steps to correct them as soon as we are able. Our services are provided as-is, where-is and no further warranties are made (more on this below).  

Trademarks. You are prohibited from using any of the marks or logos appearing throughout the Site without permission from the trademark owner, except as permitted by applicable law.

Links & Downloads. Links on the Site to third party web sites or information are provided solely as a convenience to you. If you use these links, you will leave the Site. Such links do not constitute or imply an endorsement, sponsorship, or recommendation by KEI of the third party, the third-party web site, or the information contained therein. KEI is not responsible for the availability of any such web sites. KEI is not responsible or liable for any such web site or the content thereon. If you use the links on any of the team sites, you will leave this Site and will be subject to the terms of use and privacy policy applicable to those web sites. KEI cannot and does not guarantee or warrant that files available for downloading through the Site will be free of infection by software viruses or other harmful computer code, files or programs.

User Supplied Information. KEI does not want to receive confidential or proprietary information from you via the Site. You agree that any material, information, or data you transmit to us or post to the Site will be considered non-confidential and non-proprietary. If you supply or post any information or material to the Site, you guarantee to us that you have the legal right to post such material and that it will not violate any law or the rights of any person or entity. By posting material on the Site, you give KEI the royalty-free, irrevocable, perpetual, worldwide right to use, distribute, display and create derivative works from this material, in any and all media, in any manner, in whole or in part, without any restriction or responsibilities to you.

Password Security. If you register to become a kodak.com member, you are responsible for maintaining the confidentiality of your member identification and password information, and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your member identification and password.

Binding Effect. You are deemed to have read and accepted all of the terms and conditions contained in this Member Agreement and Privacy Policy, before you became a member of any Affiliate Sites or the Main Site.

Changes to this Agreement. From time to time, we may amend this Policy by posting the amend terms on our Website.  New terms will be effective immediately. This agreement is effective as of June 1, 2006.

Onwership This site is owned and operated by Kranitz Enterprises, Inc. (KEI).

PRIVACY SECTION

Your privacy is paramount to us.  We do not transmit, sell, rent or otherwise disseminate your personal information to third parties for any purpose without your approval. Individuals The information gathered on this site (e.g. name, address, telephone number, email address, etc.) (“Personal Information”) is used solely for the purpose of fulfilling our service committments to you and to adequately respond to customer technical support requests. Personal Information is not, and will not be, disseminated, sold or bartered by KEI, Inc. for any reason or in any manner, whatsoever.

Stored Information & Non-Disclosure.

KEI owns and operates the team and league management service that you are using.  Any Personal Information we collect during the course of your visits to our service is used solely to provide you the services we offer in the most efficient and effective manner.  We do not use Personal Information for any purpose other than to provide you the highest quality service while you are visiting our Website.  Personal Information is stored on separate secure database servers protected by firewall, IP blocks and other measures (including encryption and Secure Sockets Layers) designed to offer the highest levels of security.  By providing your Personal Information, you consent to our use of same, but for the sole purpose of providing you with the services you request or authorize on the site.  In addition, we may use "aggregate data" that we collect anonymously from our entire user base (e.g. the percentage of baseball team users from California) in order to generate marketing and demographic information.  Nothing in this policy prohibits our use of aggregate data, provided that no information unique to any specific user is utilized without the user's specific consent.  

Cookies and Other Tracking Mechanisms

In order to provide you with a seamless experience, we utilize cookie and session tracking technology, which allows you to move from page to page without having to login each time you view another page.  In addition, this information allows us to pre-populate fields and in general make your browsing experience more friendly.  We do not track your browsing outside of our Website or for any other purpose than to provide you with team and league management services.

WARRANTY, INDEMNITY AND WAIVERS

No Warranty on Software. We do not warrant the accuracy or truth of any data in our service that is posted by third parties. Each team is responsible for the accuracy of its information.

Limitation of Liability.  IN NO EVENT SHALL PROVIDERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE).

OUR LIABILITY, AND THE LIABILITY OF OUR SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO US IN CONNECTION WITH THE ACTION GIVING RISE TO LIABILITY, AND (B) $50. Some States do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Indemnity.  You agree to indemnify and hold Providers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

No Agency. You and KEI are independent contractors.  As such,no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Notices. Except as explicitly provided to the contrary, any notices to KEI shall be given by facsimile to 303.858.0409 or via email to support @ easyteammanager.com. Customers of KEI may ocassionally receive email announcements from KEI regarding improvements or fixes in EasyTeamManager.

Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
